Terms of Use

These Terms of Use ("Terms") govern your use ofbigbrainfunding.com and related services provided by Big Brain Funding, a service operated by Latam Resource Group LLC("Big Brain Funding," "Company," "we," "us," or "our"). By accessing the site or submitting information, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the site.

1. What Big Brain Funding does

We publish educational research, directories, screeners, and other information for business owners. We also review information you voluntarily provide to create a preliminary funding profile. If you separately authorize an introduction, we may connect you with a third-party lender, broker, investor, funding provider, tax professional, or other service provider.

2. What Big Brain Funding does not do

• We do not lend money, extend credit, or provide capital.
• We do not underwrite, approve, decline, or make credit decisions.
• We do not determine rates, fees, repayment terms, collateral, or documentation requirements.
• We do not guarantee that any provider will contact you, offer financing, or complete a transaction.
• We do not act as your lender, broker of record, agent, investment adviser, fiduciary, attorney, accountant, or tax adviser.
• We do not provide legal, tax, accounting, investment, or financial advice.

3. No approval, offer, rate, or funding guarantee

Profiles, matches, rankings, calculators, statistics, program descriptions, and examples on the site are educational and preliminary. They are based on public data, provider publications, or information you supply. They are not an approval, preapproval, offer, commitment, rate quote, valuation, eligibility determination, or guarantee.

Only the relevant lender or provider can determine eligibility and make an offer. That provider may verify revenue, credit, identity, ownership, collateral, tax information, and other facts. Its final decision may differ from anything displayed or discussed by Big Brain Funding. Submitting a funding profile to us does not create a credit inquiry.

4. Lenders and partners make independent decisions

Third-party lenders, brokers, investors, tax professionals, and other partners are independent businesses. We do not control their underwriting, products, pricing, availability, licensing, communications, privacy practices, or conduct. A listing, ranking, match, or introduction is not an endorsement or representation that a provider is the best, cheapest, or only option available.

5. Partner introductions and compensation

We do not share your funding profile with a partner unless you separately provide explicit permission for the introduction. If you authorize an introduction, the partner may contact you using the methods described in that consent disclosure.

Big Brain Funding may receive compensation from a partner for an introduction, accepted profile, completed transaction, marketing service, or other commercial arrangement. Compensation creates a financial interest in making an introduction. It may influence which partners are available for an introduction, but it does not change the independent provider's underwriting decision. You do not owe Big Brain Funding a fee merely for using the site or submitting a profile unless a separate written agreement expressly says otherwise.

6. Data and content accuracy limitations

We work to use reliable sources and explain our methods, but public records, provider websites, regulations, rates, programs, licensing, and underwriting standards can change. Data may be incomplete, delayed, aggregated, incorrectly reported by a source, or interpreted differently. Historical activity does not predict future approval or performance.

You are responsible for verifying information directly with the applicable government agency, lender, provider, licensed professional, or other authoritative source before making a decision. We may correct, update, or remove content at any time without notice.

7. Eligibility and your responsibilities

You must be at least 18 years old and legally able to enter into these Terms. When submitting business information, you represent that you own the business or are authorized to act for it. The funding profile is intended for business and commercial purposes, not personal, family, or household credit.

You agree to:

• Provide accurate, current, and complete information.
• Submit information only for yourself or a business you are authorized to represent.
• Not submit another person's personal information without permission.
• Not use the site for fraud, unlawful activity, scraping, unauthorized access, interference, or security testing without written permission.
• Independently review any provider and transaction before proceeding.

8. Communications

If you check a consent box, you authorize only the communications described next to that box. The website's funding profile consent currently authorizes Big Brain Funding to contact you by email or phone about business funding. It does not authorize a lender or other partner to contact you. Partner contact requires a separate permission. Consent is not a condition of purchasing a good or service. You may opt out of our communications at any time.

9. Reviews and user submissions

If you submit a review or other content, you confirm it is truthful, based on your own experience, and does not violate another person's rights. You grant the Company a nonexclusive, worldwide, royalty-free license to review, edit for clarity or privacy, publish, reproduce, and display the submitted content in connection with our services. We may reject or remove content, but we are not required to publish it. We do not publish a reviewer's email address.

10. Intellectual property

The site, brand, design, original text, software, selection, and presentation of content belong to the Company or its licensors and are protected by law. You may view and print reasonable excerpts for your own internal business use. You may not republish, resell, systematically scrape, reproduce, or create derivative commercial products from the site without written permission. Rights in public records and third-party materials remain with their respective owners.

11. Third-party sites

Links to third-party sites are provided for convenience and research. We do not control and are not responsible for their content, security, availability, offers, or privacy practices. Your use of a third-party site is governed by its own terms and policies.

12. Disclaimer of warranties

To the fullest extent permitted by law, the site and services are provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and availability. We do not warrant that the site will be uninterrupted, secure, complete, current, or error-free, or that any profile, match, introduction, provider, or transaction will meet your needs.

13. Limitation of liability

To the fullest extent permitted by law, the Company and its members, officers, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, opportunities, business, goodwill, or data, arising from the site, these Terms, inaccurate information, a provider's acts or omissions, or a transaction with a third party.

To the fullest extent permitted by law, the Company's total aggregate liability arising from the site or these Terms will not exceed US $100. Some jurisdictions do not permit certain exclusions or limits, so portions of this section may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company and its members, officers, employees, contractors, and agents from claims, losses, liabilities, damages, judgments, and reasonable legal fees arising from information you submit, your misuse of the site, your violation of these Terms, or your violation of law or a third party's rights.

15. Governing law and disputes

These Terms and any dispute arising from them are governed by applicable United States federal law and the laws of the state in which Latam Resource Group LLC is organized, without regard to conflict-of-law principles. Mandatory rights under the law where you reside are not waived where they cannot lawfully be waived.

Before starting a formal proceeding, you agree to send a written description of the dispute to the email address below. The parties will attempt in good faith to resolve it informally for 30 days. If it is not resolved, either party may bring a claim in a court with proper jurisdiction and venue. Nothing in this section prevents either party from seeking urgent injunctive relief or bringing a claim in small claims court where eligible.

16. Changes, suspension, and termination

We may change these Terms by posting an updated version and effective date. We may modify, suspend, or discontinue any part of the site, and may restrict access for misuse, legal risk, or security concerns. Continued use after revised Terms become effective constitutes acceptance of the revised Terms.

17. General terms

If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, financing, or asset sale. These Terms and the Privacy Policy are the entire agreement regarding your use of the site unless you and the Company sign a separate written agreement.
